Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Lightbridge platform (“Service”), operated by Lightbridge AG, Talacker 41, 8001 Zurich, Switzerland (“Lightbridge,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Platform Policy. If you do not agree, you may not access or use the Service. These Terms supplement (and do not replace) your Membership Agreement with Lightbridge, if applicable.
2. Membership and Eligibility
Lightbridge is a private, invitation-only community. Access is granted at our sole discretion through invitation or application. We reserve the right to approve, deny, suspend, or revoke membership at any time, with or without notice, for any reason, including violation of these Terms or community standards.
By becoming a member, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.
3. Membership Fees and Payment
Membership fees are set out in your Membership Agreement. All fees are stated exclusive of VAT. Swiss VAT (currently 8.1%) will be added where applicable. Fees are invoiced at the start of each membership term and are due within fourteen (14) days.
The membership term is twelve (12) months. Memberships automatically renew for successive twelve-month periods unless either party provides written notice of non-renewal at least thirty (30) days before the end of the current term.
4. Cancellation and Refunds
Membership fees are non-refundable for the current term, except where required by mandatory law. Members may choose not to renew by providing written notice at least thirty (30) days before the renewal date. If Lightbridge terminates the membership for convenience, Lightbridge shall refund the pro-rata portion of any prepaid fees corresponding to the unused remainder of the term. If Lightbridge terminates the membership for breach, no refund is due.
5. Confidentiality
All non-public information shared on Lightbridge, including but not limited to member profiles, communications, investment-related information, deal pipeline data, and community discussions, is strictly confidential. You agree not to disclose, reproduce, distribute, or misuse any confidential information obtained through the Service without explicit authorization. This obligation survives termination of your membership.
6. Acceptable Use
You agree not to:
- Solicit, pitch, or cold-contact members outside of facilitated introductions
- Share or redistribute confidential information, member identities, or deal details outside the platform
- Use the Service for any unlawful purpose
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to any part of the Service
- Use automated tools to scrape, harvest, or collect data from the Service
Violation of these rules may result in warnings, suspension, or termination of membership at Lightbridge's discretion.
7. Investment Disclaimer and Risk Acknowledgment
All information provided through the Service is for informational purposes only and does not constitute investment, legal, tax, or financial advice. Lightbridge does not recommend or endorse any investment. Lightbridge is not a regulated financial intermediary, investment advisor, or broker-dealer. The Service is not supervised by FINMA, the SEC, the FCA, or any other financial regulatory authority.
Investments in private markets are speculative and involve significant risk, including the possible loss of all invested capital. You are solely responsible for your investment decisions and should consult your own legal, tax, and financial advisors before committing capital.
8. Intellectual Property
All content, features, and functionality of the Service (including text, graphics, logos, and software) are the exclusive property of Lightbridge or its licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent.
9. Termination
We may suspend or terminate your access to the Service at any time, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, all rights granted to you under these Terms will immediately cease. Confidentiality obligations survive termination.
10. Limitation of Liability
To the maximum extent permitted by law, Lightbridge shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of capital, loss of profit, or damages arising from investment decisions made in connection with the Service. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the membership fees paid by you in the twelve (12) months preceding the claim.
11. Data Protection
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with Swiss and EU data protection laws.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Switzerland. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.
13. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated to members via email. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
